Default, lawsuits and judgments in New York
A missed debit usually triggers the default clause. Expect calls to you and any personal guarantor, a demand for the full remaining balance, and possibly a lawsuit, often filed in New York because that's what most contracts specify. A New York judgment can then be domesticated in New York and enforced against your accounts.
This is the biggest risk to plan around: New York accepts confessions of judgment only from debtors who lived in New York when signing (CPLR 3218). If you signed a confession, a funder may be able to get a judgment against your New York business quickly and move to freeze accounts. That makes it important to negotiate before you fall far behind.
New York rules that affect your settlement
Disclosures. New York requires disclosures, including an estimated APR, on MCAs up to $2.5 million (since August 2023).
Interest limits. New York's 25% criminal usury cap voids a loan entirely, and courts have recharacterized some MCAs as loans. That gives us another point to raise when we negotiate.
Worth knowing: In 2025 the New York Attorney General obtained a $1 billion-plus judgment against Yellowstone Capital, cancelling more than $534 million in merchant debt.
Nothing here is legal advice. If you've been sued or served, talk to an attorney; we can work alongside one.
